Terms of service

These Terms of Service ("Terms") are a binding agreement between you and Waylead ("we," "us"), which operates the Waylead service (the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. The service

Waylead is a hosted, desk-based ride-planning tool for organizing group motorcycle rides. It analyzes uploaded routes and helps a ride leader plan stops, fuel, timing, and roles, and share a briefing with riders. It includes an optional AI assistant (Route Architect) that suggests routes and edits at your request. Waylead is used to plan before a ride — it is not for use while riding.

2. Safety disclaimer, assumption of risk, and release

Read this section carefully. It describes risks you accept and limits our responsibility.

Waylead is a planning aid, not a navigation or safety device. Its optional ride mode is meant to provide supplemental information while you ride — it is not a primary source of navigation and does not replace your GPS or other navigation source. Only use or reference ride mode where it is safe and legal to do so. All outputs — routes, fuel-range and stop suggestions, timing, after-dark and bail-out estimates, weather and wildfire information, and AI-generated suggestions — are advisory and may be incomplete, delayed, or wrong. You are solely responsible for your own safety and that of your group: verify fuel, road, traffic, and weather conditions independently, obey all laws, ride within your ability, and ride to conditions.

Assumption of risk. Motorcycling is inherently dangerous and can result in serious injury or death. You understand and voluntarily accept all risks associated with planning, organizing, and participating in rides, whether or not you used Waylead to plan them. You are responsible for your own decisions and for the riders in any group you lead.

Release of claims. To the maximum extent permitted by law, you release and forever discharge Waylead and its owners, employees, and contractors from any and all claims, demands, and damages of every kind — known or unknown, suspected or unsuspected — arising out of or related to your use of the Service or any ride you plan, organize, or take part in.

Waiver of California Civil Code section 1542. You expressly waive the protections of California Civil Code section 1542, which reads: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release, and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party." You understand you are releasing claims you may not know about.

3. Eligibility and accounts

You must be at least 18 years old to create an account or use the Service. You must provide a valid email address, keep your account credentials secure, and are responsible for activity under your account. Accounts may require approval, and we may suspend or terminate accounts for abuse or for violation of these Terms.

4. Acceptable use

You agree not to: use the Service unlawfully; disrupt, overload, probe, or reverse-engineer the Service; upload content you do not have the rights to; scrape or bulk-extract data; or misuse another person's information. You may enter details about other riders (such as names, roles, and phone numbers) only if you have the right to do so and any consent those individuals require; you are responsible for that information and for honoring any request from those individuals to remove it.

5. Your content

You retain ownership of the routes, plans, and other content you create. You grant us the limited, worldwide, royalty-free license needed to host, store, process, render, and share your content at your direction, and to operate and improve the Service. You are responsible for your content and represent that you have the rights to it. See our Privacy Policy for how your data is handled and which third parties receive it.

6. Feedback

If you send us feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or any obligation to you.

7. Third-party data and services

Map data is © OpenStreetMap contributors (ODbL). Weather is from Open-Meteo; wildfire perimeters, active-fire detections, and fire-weather outlooks come from public agency sources (NIFC/WFIGS, NASA FIRMS, and NOAA). Address search uses a third-party geocoding service, and the optional AI assistant uses a third-party AI model provider and a web-search provider. These are provided under their own terms and without warranty; see our Privacy Policy for what is shared with them.

8. Subscriptions and automatic renewal

Some features may require a paid plan. If you purchase a subscription, we will disclose the price, billing frequency, and how to cancel before you buy, and obtain your affirmative consent to the renewal terms. Paid subscriptions renew automatically for the same term until you cancel. You may cancel at any time through your account, using the same method by which you subscribed; cancellation takes effect at the end of the current billing period, and fees already paid are non-refundable except where required by law. For annual plans, we will send a renewal reminder in advance as required by California law.

9. Warranty disclaimer

The Service is provided "as is" and "as available," without warranties of any kind — express, implied, or statutory — including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, timely, secure, accurate, or error-free.

10. Limitation of liability

To the maximum extent permitted by law, Waylead and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or for personal injury or property damage, arising out of or related to the Service, however caused and on any theory of liability. Our total aggregate liability for all claims arising out of or related to the Service will not exceed the greater of the amount you paid us in the twelve months before the event giving rise to the claim, or one hundred U.S. dollars ($100).

Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud, for willful injury to the person or property of another, or for violation of law (California Civil Code section 1668). Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

11. Indemnification

You agree to indemnify and hold harmless Waylead and its owners, employees, and contractors from any claim, loss, liability, and expense (including reasonable attorneys' fees) arising out of your use of the Service, your content, information you enter about other people, your rides, or your violation of these Terms or of any law or third-party right.

12. Copyright (DMCA)

If you believe content on the Service infringes your copyright, send a notice with the information required by the DMCA (17 U.S.C. § 512) to [email protected]. We respond to valid notices, may remove infringing content, and may terminate repeat infringers.

13. Changes and termination

We may modify the Service or these Terms. If we make material changes to these Terms, we will provide notice (for example, by email or in the app) and, where required, ask you to accept the updated Terms; your continued use after the changes take effect means you accept them. You may stop using the Service and delete your account at any time. We may suspend or terminate the Service or your access as described in these Terms.

14. Dispute resolution and governing law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. You and Waylead agree that any dispute arising out of or related to the Service or these Terms will be brought exclusively in the state or federal courts located in California, and you consent to their personal jurisdiction.

Jury-trial waiver. To the extent permitted by law, you and Waylead each waive any right to a jury trial.

Class-action waiver. To the extent permitted by law, you and Waylead agree that claims may be brought only in an individual capacity, and not as a plaintiff or class member in any class, collective, or representative proceeding.

Time limit. Any claim arising out of or related to the Service or these Terms must be filed within one year after it arises, or it is permanently barred, except where a longer period is required by law.

15. General

If any provision of these Terms is held unenforceable, the rest remain in effect and the unenforceable provision will be limited or removed to the minimum extent necessary. Our failure to enforce a provision is not a waiver of it. These Terms are the entire agreement between you and Waylead about the Service and supersede any prior agreements about it. You may not assign these Terms without our consent; we may assign them to an affiliate or successor. These Terms create no third-party beneficiaries.
